Private Equity, Hold the Syrup: TriArtisan, Treville, and Yadav Orders the Whole Stack
Denny's Corporation announced this week that it has entered into a definitive agreement to be acquired by private equity firms, TriArtisan Capital Advisors, Treville Capital Group and Yadav Enterprises, in a deal valued at approximately $1.5 billion, including debt.
The transaction, which represents a 25% premium over Denny's recent stock price, aims to provide the diner chain with resources to accelerate its growth and modernization initiatives amid competitive pressures in the casual dining sector.
Under the terms, Denny's shareholders will receive $8.50 per share in cash, with the deal expected to close in the first half of 2026 pending regulatory approvals and shareholder consent.
TriArtisan Capital Advisors, known for investments in consumer-facing brands P.F. Chang’s, highlighted Denny's strong brand loyalty and real estate portfolio as key attractions in the acquisition.
The move comes as Denny's reports steady same-store sales recovery post-pandemic, positioning the company for expansion through franchising and menu innovation under private ownership.
